These Terms of Service (“Terms”) govern access to and use of Pavilion CreditOS and related websites, applications, APIs, and services (collectively, the “Services”) offered by Pavilion Labs, a company operating from Nigeria, and its affiliates (“Pavilion,” “we,” “us,” or “our”). Pavilion is Nigerian-first in contracting, regulatory cooperation, and customer operations. By accessing or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.
1. The Services
Pavilion CreditOS is a cloud software platform for credit policy simulation, portfolio intelligence, analytics, reporting, and related workflows designed for lenders and financial institutions. Features, environments, and availability may vary by subscription, region, or deployment model described in your order form, statement of work, or other written agreement with Pavilion (your “Order”).
If there is a conflict between these Terms and an executed Order or master agreement signed by both parties, the signed agreement controls for that conflict.
2. Eligibility and accounts
The Services are intended for businesses and professionals. You represent that you have authority to bind your organization, that registration information is accurate, and that you will keep account credentials confidential. Access may be provisioned after qualification (for example, following a demo or onboarding). You are responsible for all activity under your accounts and for promptly notifying us of unauthorized use.
3. Customer data
You may upload, connect, or otherwise submit data to the Services (“Customer Data”). You retain ownership of Customer Data subject to the rights you grant us to operate the Services. You represent that you have all rights and consents needed to submit Customer Data and that its processing complies with applicable law, including laws governing credit, financial services, privacy, and consumer protection (including, where relevant, Central Bank of Nigeria rules and other Nigerian financial regulations).
Our privacy practices for personal information are described in our Privacy Policy. Where we process personal data on your behalf as part of the Services, additional terms (such as a data processing agreement) may apply as referenced in your Order or onboarding materials.
4. Acceptable use
You agree not to:
- Use the Services in violation of law, regulation, or third-party rights.
- Attempt to probe, scan, interfere with, or circumvent security, authentication, rate limits, or technical restrictions.
- Reverse engineer, decompile, or seek source code for the Services except where prohibited limitations cannot be enforced under applicable law.
- Use the Services to develop a competing product or service, or to mine or scrape data except through documented APIs as permitted.
- Introduce malware, excessive load, or other material that harms the Services, other customers, or third parties.
We may investigate suspected misuse and may suspend or terminate access where reasonably necessary to protect the Services or others.
5. Intellectual property
Pavilion and its licensors own the Services, software, documentation, and Pavilion branding, including all associated intellectual property rights. Subject to these Terms and your Order, we grant you a limited, non-exclusive, non-transferable right to use the Services during the subscription term for your internal business purposes.
Feedback you provide may be used by us without restriction or obligation. Aggregated or de-identified data derived from use of the Services may be used to improve security, reliability, and product quality, consistent with our Privacy Policy.
6. Third-party services
The Services may integrate with or link to third-party systems you choose to connect. Those services are governed by their own terms. Pavilion is not responsible for third-party products or for data once it leaves the Services under your configuration or instructions.
7. Fees and taxes
Fees, billing cycles, and payment methods are set out in your Order. Unless stated otherwise, fees are non-credit. You are responsible for applicable taxes (including VAT, withholding, and stamp duties where imposed under Nigerian law) other than taxes based on Pavilion’s net income. Late payments may incur interest or suspension as described in your Order or invoice terms.
8. Confidentiality
Each party may receive non-public information from the other (“Confidential Information”). The receiving party will use reasonable care to protect Confidential Information and use it only for the purposes of these Terms or the applicable Order. Exclusions include information that is public, independently developed, or rightfully received without restriction.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAVILION DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PAVILION DOES NOT WARRANT THAT OUTPUTS, SIMULATIONS, OR RECOMMENDATIONS ARE ACCURATE, COMPLETE, OR SUITABLE FOR ANY SPECIFIC LENDING OR BUSINESS DECISION.
The Services provide analytical and operational tools only. They do not constitute legal, accounting, investment, or regulatory advice. You remain solely responsible for credit decisions, model validation, fair lending and consumer compliance, reporting to regulators, and all outcomes from use of the Services.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PAVILION NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT FOR YOUR PAYMENT OBLIGATIONS OR LIABILITY THAT CANNOT BE LIMITED BY LAW, EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO PAVILION FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR, IF NO FEES APPLY, FIVE HUNDRED THOUSAND NIGERIAN NAIRA (NGN 500,000)).
11. Indemnity
You will defend and indemnify Pavilion and its directors, officers, and employees against third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from Customer Data, your use of the Services in breach of these Terms, or your violation of law; provided that we promptly notify you of the claim, cooperate reasonably, and do not make admissions that bind you without consent (except as required by law).
12. Term, suspension, and termination
These Terms remain in effect while you use the Services. Subscription terms, renewal, and termination are governed by your Order. We may suspend access for material breach, non-payment, security risk, or legal obligation. Upon termination, your right to use the Services ceases; provisions that by nature should survive will survive (including ownership, confidentiality, disclaimers, limitations, and indemnity). Export or deletion of Customer Data may be handled according to your Order and applicable product documentation.
13. Changes
We may update these Terms from time to time. We will post the revised Terms and update the “Last updated” date. If a change is material, we will provide notice as required by law or as described in your Order. Continued use after the effective date may constitute acceptance; if you do not agree, you must stop using the Services.
14. General
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules that would apply another jurisdiction’s laws. Subject to mandatory protections for consumers and workers where applicable, the courts of Lagos State, Nigeria have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and each party submits to that venue; either party may seek interim or injunctive relief in any court of competent jurisdiction where appropriate. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets. If a provision is unenforceable, the remainder stays in effect. No waiver is implied from delay or failure to enforce. These Terms, together with your Order and policies referenced here, are the entire agreement regarding the Services and supersede prior oral or written understandings on that subject.
